SpaceX and Tesla Form Committees to Assess Merger That Would Unite Over 30,000 Bitcoin

Independent committees at both companies are evaluating a potential tie-up that would consolidate massive corporate Bitcoin holdings as SpaceX earnings surge ahead of Tesla's quarterly results.

SpaceX and Tesla have each established special committees to explore a potential merger that would bring together more than 30,000 bitcoin currently held across both companies' balance sheets. The development marks one of the most significant corporate Bitcoin consolidation stories since major firms began accumulating the digital asset in 2020.

Elon Musk confirmed the merger discussions in remarks following SpaceX's latest earnings release, which showed strong revenue growth driven by satellite deployment and commercial launch contracts. Independent board members at both companies are now assessing financial terms, regulatory hurdles, and strategic rationale for combining the electric vehicle giant with the aerospace leader.

Tesla holds approximately 9,720 bitcoin after a series of purchases and sales between 2021 and 2024, while SpaceX quietly accumulated an estimated 22,000 BTC through treasury operations and payment acceptance for Starlink services. A combined entity would control roughly $2.5 billion in Bitcoin at current prices, making it one of the largest corporate holders globally behind MicroStrategy and Marathon Digital.

The timing coincides with a broader trend of corporations seeking scale in digital asset holdings. Institutional investors have signaled that concentrated Bitcoin positions can enhance balance sheet resilience during inflationary periods, and a merged SpaceX-Tesla would gain leverage in negotiations with custodians, tax jurisdictions, and regulators who set reporting standards for crypto assets.

For retail Bitcoin holders, the merger carries implications beyond headline numbers. A single entity controlling over 30,000 BTC could influence market liquidity during periods of volatility, especially if treasury management strategies shift or if regulatory changes force asset sales. Historical precedent shows that when Tesla sold 75% of its Bitcoin in 2022, the announcement contributed to short-term price pressure.

The merger structure remains under discussion, with early proposals suggesting a stock-swap arrangement that would preserve both companies' existing Bitcoin positions rather than triggering taxable liquidation events. Legal experts note that combining the holdings under one balance sheet could simplify accounting treatment and enable more sophisticated hedging strategies using Bitcoin-backed financing instruments that have emerged since 2025.

Investors should monitor the independent committee reports expected before the end of Q4 2026, as well as any guidance on how a combined entity would manage its Bitcoin treasury. The companies' existing disclosures show different approaches: Tesla treats Bitcoin as an indefinite-lived intangible asset, while SpaceX's private status has allowed less transparent reporting, raising questions about valuation consistency in a merged entity.
